To the maximum extent permitted by applicable law, TopTeen Educational Services Private Limited's total liability for any claims arising from service use, regardless of the legal theory underlying such claims, shall not exceed the total amount paid by the user to TopTeen in the twelve months immediately preceding the events giving rise to the claim.

This limitation applies to all types of damages, including direct, indirect, incidental, special, consequential, and punitive damages, regardless of whether such damages were foreseeable or whether TopTeen was advised of the possibility of such damages.

We specifically exclude liability for loss of profits, revenue, or business opportunities; data loss or corruption not directly caused by our negligence; educational or career opportunity losses; and third-party claims or damages arising from user conduct or content.

9.3 Risk Assumption and User Responsibility

Users acknowledge and assume certain risks inherent in online educational services, including the possibility of technical failures, internet connectivity issues, and variations in educational effectiveness based on individual circumstances. Users are responsible for maintaining appropriate backup copies of their work and important data.

The educational advice and career guidance provided through our platform should be considered as general information and suggestions rather than professional advice tailored to specific individual circumstances. Users should consult with qualified professionals for advice on important educational or career decisions.

10. INDEMNIFICATION AND MUTUAL PROTECTION

Users agree to indemnify, defend, and hold harmless TopTeen Educational Services Private Limited, its officers, directors, employees, agents, contractors, and affiliates from and against any and all claims, demands, actions, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from or relating to user violation of these Terms or applicable laws.

This indemnification obligation extends to claims arising from user-generated content or submissions that infringe third-party rights, unauthorized use of user accounts by third parties due to user negligence in maintaining account security, and third-party claims related to user conduct on the platform or use of our services.

The indemnification obligation survives termination of user accounts and these Terms for claims arising from conduct that occurred during the period of service usage.

11. ACCOUNT TERMINATION AND SERVICE DISCONTINUATION

11.1 User-Initiated Termination

Users maintain the right to terminate their accounts at any time through account settings or by contacting our customer support team. Account termination requests are processed promptly, typically within twenty-four hours of receipt. Subscription cancellations become effective at the end of the current billing period, allowing users to access paid services through the period for which they have already paid.

Data export options are available for thirty days following account termination, enabling users to download their personal data, educational records, and created content before permanent deletion. Certain content licenses and collaborative contributions may survive account termination where removal would negatively impact other users' educational experience.

11.2 Company-Initiated Termination

We reserve the right to suspend or terminate user accounts for material breach of these Terms, community guidelines, or applicable laws. Account termination decisions are made carefully and typically follow warnings or temporary suspensions unless the violation is severe enough to warrant immediate termination.

Fraudulent activity, payment disputes that remain unresolved after reasonable collection efforts, extended periods of account inactivity exceeding twelve months, and legal or regulatory compliance requirements may also result in account termination.

Before terminating accounts for policy violations, we generally provide users with notice of the violation and an opportunity to correct the issue, except in cases involving fraud, security threats, or legal requirements that necessitate immediate action.

11.3 Effects and Consequences of Termination

Account termination results in immediate cessation of access to all platform services, including educational content, assessment tools, community features, and customer support. Personal data is retained and eventually deleted according to our Privacy Policy terms and applicable legal requirements.

Outstanding payment obligations remain due and payable despite account termination, and users remain liable for any damages or losses resulting from their breach of these Terms. Certain provisions of these Terms, including intellectual property protections, indemnification obligations, and dispute resolution procedures, survive account termination.

12. DISPUTE RESOLUTION AND LEGAL PROCEDURES

12.1 Informal Resolution and Good Faith Negotiation

Before initiating formal legal proceedings, parties agree to attempt resolution of disputes through direct communication and good faith negotiation for a period of thirty days. Many disputes can be resolved through clarification of Terms, adjustment of account settings, or other practical measures.

12.2 Binding Arbitration and Formal Dispute Resolution

Disputes that cannot be resolved through informal negotiation shall be resolved through binding arbitration conducted in accordance with the Arbitration and Conciliation Act, 2015, of India. Arbitration proceedings shall be conducted in Chandigarh, India, in the English language before a single arbitrator agreed upon by the parties or appointed according to applicable arbitration rules.

The arbitration shall be conducted on an individual basis only, and users waive any right to participate in class action lawsuits or class-wide arbitration proceedings. This individual arbitration requirement helps ensure efficient resolution of disputes while maintaining reasonable costs for all parties.

The arbitrator's decision shall be final and binding on all parties, and judgment upon the arbitration award may be entered in any court having jurisdiction. The arbitrator shall have the authority to award damages and relief available under applicable law but shall not have the power to award punitive damages unless specifically authorized by applicable law.

12.3 Exceptions to Arbitration and Court Jurisdiction

Certain types of disputes may be pursued in court rather than through arbitration, including intellectual property infringement claims where immediate injunctive relief may be necessary to prevent irreparable harm. Emergency requests for injunctive relief to prevent immediate and irreparable harm may also be brought in court while arbitration proceedings are pending.

Small claims court matters within the jurisdictional limits of such courts may be pursued through that forum if preferred by either party. These exceptions ensure that parties retain access to appropriate legal remedies for time-sensitive or specialized legal issues.

13. GOVERNING LAW AND LEGAL JURISDICTION

These Terms and Conditions are governed by and construed in accordance with the laws of India, specifically the laws applicable in the Union Territory of Chandigarh, without regard to conflict of law principles that might otherwise apply the laws of another jurisdiction.

For matters involving Indian users, these Terms shall be interpreted and enforced in accordance with the Indian Contract Act, 1872; the Information Technology Act, 2000, and its subsequent amendments; the Consumer Protection Act, 2019; applicable data protection regulations including any Personal Data Protection legislation that may be enacted; and other relevant Indian laws and regulations governing commercial relationships and digital services.

International users acknowledge and agree that Indian law shall govern their relationship with TopTeen Educational Services Private Limited regardless of their location or nationality. Any disputes shall be resolved in accordance with Indian legal procedures and remedies available under Indian law, subject to the arbitration provisions outlined in these Terms.

The courts of Chandigarh, India, shall have exclusive jurisdiction over any matters not subject to arbitration, and all parties consent to the personal jurisdiction of such courts for the resolution of legal disputes.
